RSA Conference 2025 Launch Pad - Submission Terms and Conditions

NO PURCHASE OR PAYMENT NECESSARY. VOID WHERE PROHIBITED OR RESTRICTED BY LAW. BY SUBMITTING AN ENTRY FOR RSA CONFERENCE 2025 LAUNCH PAD (THE “CONTEST”), THE ENTRANT (“PARTICIPANT”) AGREES TO COMPLY WITH ALL THE TERMS AND CONDITIONS (“TERMS”) BELOW. IF PARTICIPANT DOES NOT AGREE WITH ANY OF THESE TERMS, PARTICIPANT SHOULD NOT PARTICIPATE OR SUBMIT AN ENTRY. THESE TERMS CONSTITUTE A LEGALLY BINDING CONTRACT BETWEEN PARTICIPANT AND RSA CONFERENCE LLC (“RSAC”). IF SELECTED AS A FINALIST, ADDITIONAL TERMS AND CONDITIONS APPLY.

1. Excluded Individuals. Employees, independent contractors, officers, directors, shareholders, members, managers, agents, or other representatives of RSAC, and of each of its respective subsidiaries (all of the foregoing entities referred to collectively as the “Contest Entities”), and any members of each such persons immediate family (spouses, parents, siblings, children and their spouses and in-laws) and persons living in the same household of such individuals (whether related or not) are not eligible to enter, be selected as a finalist, or win the Contest. Determination of whether a Participant is eligible shall be made in the sole discretion of RSAC, whose decision shall be final and binding.

2. Void in Excluded Territory. THIS CONTEST IS VOID IN CUBA, SYRIA, IRAN, RUSSIA, NORTH KOREA, AND IN ALL JURISDICTIONS WHERE PROHIBITED BY LAW OR REGULATION (INCLUDING BUT NOT LIMITED TO JURISDICTIONS WITH LAWS THAT WOULD REQUIRE REGISTRATION AND/OR A TRUST ACCOUNT OR POSTING OF A BOND, OR ANY OTHER REQUIREMENTS THAT HAVE NOT BEEN SATISFIED), OR RESTRICTED OR TAXED BY LAW, AND VOID WHERE RESTRICTED BY INTERNAL BUSINESS OR COMPANY POLICY (COLLECTIVELY, “EXCLUDED TERRITORY”). All persons in an Excluded Territory are prohibited from entering, participating in, or winning the Contest.

3. No Government Official or Restricted Party. Participant and their companies, if applicable, may not be a “Restricted Party”, defined herein as any person or entity that is: (a) an official or employee of any governmental entity as defined under any relevant anti-bribery, ethics, or anticorruption statute, law, regulation, or convention; and (b) on the U.S Department of Commerce Denied Person's List, Entity List, or Unverified List; U.S Department of the Treasury list of Specially Designated Nationals and Blocked Persons; or U.S Department of State List of Debarred Parties.

4. Representations and Warranties. By submitting an entry, Participant warrants and represents that the submission and all information, data and content provided in connection with the submission (the “Submission Materials”) (a) are owned by Participant and that Participant has the right to grant any and all necessary rights and licenses provided herein, including without limitation, all necessary copyright and other related rights to the Submission Materials, free and clear of all claims and encumbrances, and without violating the rights of any person or entity, including any right to privacy or publicity, (b) comply with these Terms, (c) are accurate, true and correct in all material respects, (d) are original and do not violate any applicable law or the intellectual property or other proprietary rights of any third party, and (e) apart from information relating to Participant, do not contain any information that identifies, relates to, describes, is reasonably capable of being associated with, or could reasonably be linked, directly or indirectly, with a particular natural identified or identifiable person or household. Each Participant further represents and warrants that, at the time of submission and until such time that the finalists are announced, Participant is and will remain compliant with the Contest eligibility criteria. Failure to comply with any of the above requirements may result in the disqualification of Participant.

5. License. Participant hereby grants RSAC a non-exclusive, perpetual, irrevocable, royalty-free, fully paid-up, worldwide, fully sub-licensable and transferable right to review, display, evaluate, modify, reproduce, prepare derivative works of, analyze, broadcast, translate, distribute and otherwise use the Submission Materials and Participant’s name, voice, image, likeness, biographical details and other identifiers to the extent included in the Submission Materials, in any form throughout the world in any media or technology, whether now known or later developed and for any purpose related to RSAC’s business, programs, products and services. Without limiting the foregoing, Participant acknowledges and agrees that RSAC uses and/or may in the future use artificial intelligence technologies (“AI Technologies”) developed by RSAC and/or third-party providers, and the foregoing license expressly includes the right to use the Submission Materials to train the AI Technologies and to generate and return outputs and data from such AI Technologies (“Outputs”). Participant acknowledges and agrees that all Outputs shall be owned by RSAC (excluding any rights of Participant in the underlying Submission Materials) and RSAC may use all such Outputs for any purpose related to RSAC’s business, programs, products and services. Participant waives any right to inspect or approve RSAC’s uses of the Submission Materials or to be compensated for any such uses as is consistent with applicable law.

6. Terms of Submission. Once the submission period closes, no further files, programs, or changes to the Submission Materials are permitted. At RSAC’s sole discretion, RSAC may return the Submission Materials to Participant. By entering the Contest, Participant agrees to be bound by these Terms. Participant further (i) agrees to accept and be bound by all decisions of RSAC, its affiliates, and the Contest judges relating to the Contest, including but not limited to the enforcement of Contest rules by RSAC and its affiliates and the selection of the finalists by the Contest judges, and (ii) acknowledges and agrees all decisions made by RSAC and its affiliates, and the Contest judges, are in its and their sole discretion, are subjective in nature and are final and binding in all aspects. RSAC and its affiliates have the right to disqualify any submission and/or Participant that they determine in their sole discretion does not comply with these Terms, or who they believe has acted in an improper manner. Entry into the Contest does not constitute entry into any other promotion, contest, or sweepstakes during RSA Conference 2025 or at any other time. Notwithstanding the foregoing, RSAC may, at its sole discretion, extend an invitation to a limited number of Participants to attend certain events at RSA Conference 2025. RSAC reserves the right, in its sole discretion, to modify, terminate, or suspend the Contest.

7. Confidentiality. In the event a Participant is selected as a finalist, such Participant may not make any public statements or other disclosures regarding such selection until such time as RSAC announce the finalist selection.

8. Reservation of Rights. Participant shall have no rights or licenses hereunder, express or implied, with respect to any intellectual property, software, hardware, or information of RSAC or any of its affiliates. All rights and licenses, title and interests not expressly granted in these Terms are expressly reserved by RSAC and its affiliates.

9. Participant Names. By entering this Contest, Participant gives consent for RSAC and its affiliates to obtain, use, and transfer Participant's name, address, email, and Submission Materials for Contest purposes, other RSAC related activities, marketing and advertising and other commercial purposes as set forth in RSAC's Privacy Policy available at Privacy Statement | RSA Conference.

10. RELEASE OF LIABILITY. PARTICIPANT AGREES THAT RSAC AND ITS AFFILIATES, THE CONTEST JUDGES, THE CONTEST ENTITIES AND EACH OF THEIR RESPECTIVE EMPLOYEES, OFFICERS, DIRECTORS, MANAGERS, MEMBERS, RELATED FINANCIAL ENTITIES, AGENTS, REPRESENTATIVES, SUCCESSORS, AND ASSIGNS (COLLECTIVELY, THE “RELEASED PARTIES”), WILL HAVE NO LIABILITY WHATSOEVER FOR, AND WILL BE HELD HARMLESS BY, PARTICIPANT FOR ANY AND ALL CLAIMS, ACTIONS, DAMAGES, COSTS (INCLUDING ATTORNEY’S FEES AND COURT COSTS), CHARGES, LOSSES, LIABILITIES, JUDGEMENTS OR OTHER CAUSES OF ACTION (“LIABILITIES”) (i) FOR LOSS, HARM OR DAMAGES OF ANY KIND TO PROPERTY OR PERSONS (INCLUDING DEATH OR BODILY INJURY), DUE IN WHOLE OR IN PART, DIRECTLY OR INDIRECTLY, FROM PARTICIPATION IN OR ACTIVITIES RELATED TO THE CONTEST, OR (ii) ARISING FROM OR RELATED TO THE CONTEST, OR PARTICIPANT’S PARTICIPATION IN OR ACTIVITIES RELATED TO THE CONTEST, INCLUDING BUT NOT LIMITED TO THE SELECTION OF FINALISTS AND COLLECTION AND USE OF CONFIDENTIAL AND/OR PERSONAL INFORMATION. Participant agrees that they, and their assignees, heirs, distributees, guardians, next of kin, spouse and legal representatives will not make a claim against, sue, or attach the property of any of the Released Parties in connection with any of the matters covered in this Release of Liability.

11. Waiver. Under no circumstances will Participant be permitted to obtain awards for, and Participant hereby waives all rights to claim punitive, incidental, direct, indirect, and consequential damages, including any lost profits, lost savings, lost value or lost sales, even if advised or aware of the possibility of such damages and even if Participant establishes a failure of the essential purpose of any limited remedy provided in these terms.

12. Indemnification. Participant agrees to defend, indemnify and hold harmless the Released Parties from and against all claims, actions, demands, legal proceedings and Liabilities arising out of or in connection (i) with the rights and licenses granted by Participant to RSAC and its affiliates herein (including the Released Entities’ use of Submission Materials in accordance with these Terms), and (ii) breach by Participant of the Terms, including but not limited to Participant’s representations, warranties and covenants set forth herein.

13. Acceptance of Terms. Participant represents and warrants that (i) it has read and understands these Terms, is fully familiar with its contents and sought legal guidance when needed, and (ii) it has full corporate power and authority to accept these Terms and to carry out its provisions and that the person accepting the Terms on behalf of Participant is authorized to do so.

14. Privacy. Participant agrees that personal data, including name, address, and telephone number may be processed, stored, and otherwise used for the purposes and within the context of the Contest and any other purposes outlined in these Terms. Personal data may also be used by RSAC in order to check Participant's identity, postal address, and telephone number, or to otherwise verify eligibility to participate in the Contest. If Participant wishes to access, update, or correct any personal information, Participant should contact RSAC. 15. Miscellaneous. The governing language of these Terms is English. All issues and questions concerning the construction, validity, interpretation, and enforceability of these Terms, Participant rights and obligations, or the rights and obligations of RSAC or its affiliates in connection with the Contest, shall be governed exclusively by, and construed in accordance with, the laws of the state of New York, USA, without giving effect to any choice of law or conflict of law rules (whether of the state of New York or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the state of New York. If any one or more provisions of these Terms are held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such invalidity, illegality, or unenforceability shall not affect the validity, effect, or enforcement of any other provision or provisions of these Terms. Headings and captions are used in these Terms solely for convenience of reference and shall not be deemed to affect in any manner the meaning or intent of these Terms or any provision hereof. Failure of RSAC to enforce any term shall not constitute a waiver of that provision. Participant agrees to waive any rights to claim ambiguity of these Terms.
